BOI for a business that never made money and is in revoked status?

I opened a business (name and tax registration) in 2020. It was something I thought I would want to pursue long-term but never did anything with it. I never made any money, and at most, I made a website.

Anyway, my business status was revoked at the end of last year/early this year (2023/2024), and I’ve never filed a tax return because no money in and no money out = nothing, per the rep from HR Block.

I just found out about the BOI form and the legal requirement to fill it out or be fined $600 or even go to jail. I’m stressing and want to throw up.

Do I have to fill this out for a revoked business that makes/made no money? What do I do? I’m terrified of getting into criminal and/or legal trouble.

My business was registered as an LLC.

In the time it took you to write this post, you could have just filed the BOI report and been done with it. (If BOIR gets reinstated, you will be required to file a BOIR based on the information you provided).

It does ask for your DL #… And that’s beside the fact that some people might not be interested in giving more information to the federal government than necessary (though it doesn’t sound like this was OP’s issue).

That was until the appeals court reinstated the injunction; it’s now on hold indefinitely.

As another Redditor pointed out, the injunction was reinstated, so there is no current requirement to file the BOI report. That might change tomorrow, next week, next month, etc., as things go back and forth in litigation.

However, there are 23 exemptions that would eliminate the need for certain reporting companies to file the BOI report. See the Small Entity Compliance Guide: https://www.fincen.gov/sites/default/files/shared/BOI_Small_Compliance_Guide.v1.1-FINAL.pdf.

Exemption #23 is for inactive companies, and you can read more about what specific criteria you need to meet to qualify for the exemption.

You can file online right now for free directly with FinCEN. The page is here: BOI E-FILING.

BOI is currently on hold again. If it’s reinstated and sticks, you will be required to file even if you have dissolved the company.

There is not a requirement to file if the company is inactive.
